These Terms and Conditions (“Terms”) govern your access to and use of the website www.dubidofactory.eu, owned and operated by DubiDo Factory Ltd., a company registered in the Republic of Bulgaria (the “Company”, "DubiDo Factory", “DubiDo”, “we”, “us”, or “our”).
These Terms apply to all business users accessing or purchasing via the Website.

THE WEBSITE IS INTENDED SOLELY FOR REGISTERED BUSINESS CUSTOMERS LOCATED IN THE EUROPEAN UNION, THE UNITED KINGDOM, AND EEA COUNTRIES.

By accessing or using the Website, or by clicking “I Agree”, you confirm that you have read, understood, and agree to these Terms, including our Privacy Policy and Cookie Policy, which form an integral part of these Terms.


1. Eligibility and Business Use Only

1.1. By using the Website, you represent and warrant that:

  • You are at least 18 years old;
  • You represent a valid, legally registered business entity (company, sole trader, NGO, or authorized reseller);
  • You have the authority to bind the business you represent;
  • You comply with all applicable EU, Bulgarian, and international laws;
  • You are not subject to EU, UN, UK, or US sanctions lists.

1.2. The Website is not intended for consumers (B2C).
Any consumer attempting to purchase will be declined.


2. Account Registration and Approval

2.1. To access wholesale pricing or place orders, businesses must create an account and submit required information (including company details, VAT number, and billing address).

2.2. DubiDo reserves the right:

  • To approve or reject business accounts at its sole discretion;
  • To require additional documentation proving business legitimacy;
  • To suspend or terminate accounts that provide incorrect information.

3. Permitted Use

3.1. You may use the Website solely for:

  • Browsing our catalog;
  • Placing wholesale orders;
  • Managing your business account.

3.2. You agree not to:

  • Violate any applicable EU or Bulgarian law;
  • Copy, scrape, or extract data from the website;
  • Misuse product images, text, or branding;
  • Attempt network attacks, reverse engineering, or unauthorized access.

4. Pricing, Taxes, and Payment Terms

4.1. All prices on the Website are listed in Euros (EUR) unless mentioned otherwise.

4.2. Prices for approved EU-based business accounts are shown EXCLUDING VAT, and VAT will be applied only when required under EU law.

4.3. Reverse Charge Mechanism applies for eligible EU VAT-registered businesses.

4.4. DubiDo reserves the right to change prices, shipping fees, or payment terms at any time, in compliance with EU price transparency laws.

4.5. Unless otherwise arranged in writing:

  • Orders must be paid in full at checkout via an approved payment method;
  • Bank transfers are accepted only upon request;
  • Orders are considered placed only upon issuance of an Order Confirmation email.

5. Ordering Process & Contract Formation

5.1. Your order constitutes an offer to purchase goods.
A binding contract is formed only when DubiDo issues an Order Confirmation.

5.2. DubiDo may refuse an order due to:

  • Stock unavailability,
  • Incorrect information submitted,
  • Risk concerns or compliance matters,
  • Export/import restrictions.

5.3. Minimum Order Quantities (MOQs) may apply.


6. Shipping, Delivery, Title & Risk Transfer

6.1. Unless stated otherwise in writing, shipments are fulfilled under Incoterms® 2020, typically EXW.

6.2. Risk of loss and title pass to the customer upon delivery to the carrier, in accordance with the applicable Incoterm.

6.3. Shipping times are estimates only. Delays do not give rise to cancellation rights unless agreed in writing.

6.4. The customer is responsible for:

  • Import procedures in their country;
  • Customs clearance;
  • Duties, taxes, and governmental fees;
  • Claims for damaged or lost shipments (filed directly with the carrier).

7. Returns, Cancellations, and Defect Claims (B2B rules)

Since this Website is strictly B2B, EU consumer protection laws do NOT apply.

7.1. Return of non-defective merchandise is generally not permitted unless agreed in writing.

7.2. Claims for manufacturing defects must be made within:

  • 7 days of delivery for visible issues;
  • 30 days of delivery for hidden defects.

7.3. DubiDo’s liability is limited to:

  • Replacement of defective items, or
  • Issuance of a credit note,
    At DubiDo’s discretion.

7.4. DubiDo is not liable for:

  • Consequential or indirect business losses,
  • Lost profits,
  • Delays or interruptions caused by carriers or customs.

8. Intellectual Property

All content on the Website—including product designs, photographs, videos, logos, trademarks, illustrations, and text—is the exclusive property of DubiDo Factory Ltd.

You may not:

  • Copy, reproduce, modify, or distribute content;
  • Use any content for commercial purposes outside your resale rights;
  • Claim ownership of any DubiDo Factory-related intellectual property.


9. Product Assembly, Instructions and Customer Responsibility

9.1. Nature of the Goods. Certain products supplied by DubiDo Factory Ltd. — including unstuffed plush items, stuffing machines, stuffing fibers, sound and heartbeat modules, and related accessories — are supplied as components intended for final assembly by the Customer. The Customer acknowledges that the finished article presented to an end consumer is created by the Customer and not by DubiDo Factory Ltd.

9.2. Training and Instructions. DubiDo provides the Customer with instructions for filling the plush items, operating the stuffing machine, closing the items, and using each item of equipment supplied. These are made available through written manuals, video instructions published on the Website, e-mail communications, and online training sessions. The Customer is responsible for ensuring that every member of its staff performing these operations has received and understood these instructions before commencing work.

9.3. Customer Responsibility for Assembly. The Customer is solely responsible for the correct performance of the filling and closing operations and for the operation of the stuffing machine, in each case in accordance with the instructions provided. DubiDo Factory Ltd. bears no responsibility for any defect, damage, injury, or claim arising from filling or closing performed otherwise than in accordance with those instructions, from the use of stuffing materials not supplied or approved by DubiDo, from modification of the goods, or from operation of the stuffing machine contrary to its safety instructions.

9.4. Scope of DubiDo's Responsibility. DubiDo Factory Ltd. is responsible for the conformity and safety of the goods it supplies in the condition in which they are delivered to the Customer, in accordance with Directive 2009/48/EC and the applicable harmonised standards.

9.5. Sale to End Consumers. The Customer is responsible for compliance with all applicable laws in the territory in which it sells the finished articles to end consumers, including consumer protection, product safety, labelling and age-marking requirements. The Customer shall not remove, obscure, or alter any safety marking, age warning, or labelling applied to the goods.

9.6. Indemnity. The Customer shall indemnify and hold DubiDo Factory Ltd. harmless against any claim, loss, or liability brought by a third party arising from the Customer's failure to comply with this Section 9.


10. EU Copyright Compliance (Replacing DMCA)

10.1. This Website complies with:

  • EU Copyright Directive (Directive 2019/790)
  • Bulgarian Copyright and Related Rights Act
